Chelpipe announces that the Amendments to its outstanding U.S.$300 mln loan participation notes have become effective

Chelpipe Finance Designated Activity Company announces that the Appointment and the Amendments adopted as part of the Consent Solicitation for its outstanding U.S.$300,000,000 4.50 per cent. loan participation notes due 2024 have become effective

Dublin, 9 February 2024 – on 23 October 2023, Chelpipe Finance Designated Activity Company (the “Issuer”) announced a consent solicitation in relation to the outstanding U.S.$300,000,000 4.50 per cent. loan participation notes due 2024 issued by the Issuer (Regulation S ISIN: XS2010044548, Regulation S Common Code: 201004454, Rule 144A ISIN: US16325LAA52, Rule 144A Common Code: 111730512, CUSIP: 16325LAA5) (the “Notes”) on the terms and subject to the conditions set forth in the consent solicitation memorandum dated 23 October 2023 (the “Consent Solicitation Memorandum”). Capitalised terms used, but not defined herein, shall have the meanings given to them in the Consent Solicitation Memorandum.

The Issuer notifies that, on 8 February 2024:

- the Issuer and the New Trustee entered into the Deed of Appointment to effectuate the Appointment; and
- (i) the Issuer and the New Trustee entered into the Supplemental Trust Deed, (ii) the Issuer and the Borrower entered into the Supplemental Loan Agreement and (iii) the Issuer and each Guarantor entered into the Termination Deeds, to effectuate the Amendments.

Accordingly, the Appointment and the Amendments have become effective and binding on all Noteholders with effect from that date.

The Issuer extends its gratitude for the support and cooperation demonstrated by investors which has been reflected in the successful results of the Consent Solicitation.
